The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters, and leads and implements a world-class corporate governance practice throughout the Group with the provision of end-to-end corporate governance advice. CG&S provides company secretarial and governance services including:
  • Support and advice to Group Board, Principal and Material subsidiaries including meeting organisation, director's training, evaluations and induction.
  • Support and advice to LoBs, Group Functions and HOST.
  • Core legal entity compliance for subsidiaries, 100 branches and representative offices across 64 countries and territories.
  • Transactional support and advice on legal and regulatory compliance across all jurisdictions including transactions, document execution, filings, capital restructuring, and asset sales.

Shareholder services, AGM, share registrars, and external stakeholder management
The Opportunity: (Brief Overview of the Role)
The Sr. Assistant Group Company Secretary role holder is responsible for the day to day operations and delivery of the Bangalore based Offshore CG&S team. The incumbent will assist the onshore CGS team(s) to ensure that the HSBC Group entities, their Committees and other relevant governance forums, their Directors, Members and Officers comply with all relevant statutory and regulatory obligations.
Role Holder is accountable to the COO, CGS for completion of tasks which includes but not limited to:
Day to day management of the Bangalore based Offshore CG&S team
Promote a strong sense of teamwork to ensure all areas work collaborative and as efficiently as possible
Second level of escalation for the offshore team
Ensure the team's priorities are aligned with CG&S and Management priorities
As a SME, the role holder acts as the second point of contact for any query the onshore CGS teams might have, and advises senior management in strategic decisions relating to process and generic operations and workflow management
The role holder will play a key role in the development of CGS offshoring strategy, Change Management andTechnology/Workflow:
  • To support the provision of company secretarial services to HSBC Group companies
  • To assist the CG&S onshore team(s) in supporting the boards of directors of HSBC Group companies and corporate governance frameworks
  • Process Re-engineering
  • Ad-hoc projects within Group CG&S Function
  • To support the provision of company secretarial services to HSBC Group companies
  • To assist the CG&S onshore team(s) in supporting the boards of directors of HSBC Group companies and corporate governance frameworks
  • To provide support for board and committee meetings within including scheduling meetings, developing annual planners, preparation of meeting packs, drafting minutes and managing any actions arising
  • To assist the CG&S onshore team in the maintenance of statutory registers and the submission of statutory filings
  • To support arrangements for Annual General Meeting(s)
  • To draft statutory and/or regulatory documentation relating to corporate entity changes
  • To support the CGS onshore team in fulfilling statutory and regulatory reporting requirements of HSBC Group
  • To manage and respond to shareholder requests
  • To assist with the on-boarding of non-executive directors and other relevant individuals to HSBC
  • To actively contribute to the promotion of corporate governance best practice and standards
Qualifications
  • Company Secretarial or Legal qualification with 8-10years plus of relevant experience desired
  • Ability to effectively engage and negotiate with senior stakeholders, demonstrating considered foresight and highly developed interpersonal skills
  • Experience of successfully managing teams of highly skilled individuals able to motivate and set the tone for the team
  • Ability to manage and develop a team staff across a diverse range of processes/products in order to equip them to handle scope expansion and also to handle any tasks for CGS teams
  • Be change oriented and able to cope with pressure and tight deadlines
  • Able to understand and consolidate diverse and complex business information and identify/mitigate risk issues
  • Evidence of very good prioritizing, planning and organizing skills
  • Ability to comprehend and minimize operational risks including wide understanding of Legal risk, audit controls and compliance requirements
  • Ability to manage and develop a team staff across a diverse range of processes/products in order to equip them to handle scope expansion and also to handle any tasks for CGS teams
  • Ability to deal effectively with ambiguity, complex matrix environment and multiple stakeholders
  • Ability to look at the bigger picture as well as have a keen eye for detail
  • Strong analytical capability with the ability to synthesis complex data
  • Outstanding written / verbal communication and presentation skills
  • Creative approach to problem solving
