Job Description

Listed Company Maintenance and preparation of Secretarial and Statutory / Non-statutory records, including Statutory Registers. • Preparation of notices, agenda, minutes for Board Meetings, Committee Meetings and General Meetings. • Preparation of documents related to Annual Report. • Preparation of all documents pertaining to any Change of Name, Business, Registered Office or Directors of the Company. • Compliance relating to appointment of Independent Directors and KMPs. • Compliance relating to appointment of Managing Director, Whole Time Director or Manager and approval of the remuneration paid to them. • Formation of various committees and framing various policies and ensuring compliance thereof. • Assisting to comply with Corporate Social Responsibility. • Registration / Modification / Satisfaction of Charge. • Loans to Directors, their relatives and other body corporates. • Appointment / resignation / removal of Auditors. • Obtaining DIN / DSC for Directors and Professionals. • Preparation and filing of various e-forms on MCA portal. • Conversion of Financial Statements into XBRL. • Increase in the Authorized Share Capital, Allotment, Split, Transfer & Transmission of shares of the Companies. • Closure of Companies u/s 248 of the Companies Act, 2013 (Fast Track Exit Route). • Assisting and Handling Due Diligence of Limited & Private Limited Companies. • Review of Financials of Companies to ensure that the same is in compliances with the requirements of Companies Act. • Transfer of Unpaid/Unclaimed Dividend and Shares to Investor Education and Protection Fund (IEPF). • Assisting and Handling Employee Stock Option Purchase (ESOP). • Formulating Policies of Listed Company. • Conducting independently Board Meeting(s) and Annual General Meeting(
