Manager – Secretarial

Qualifications Educational Qualifications

• Qualified Company Secretary. Additionally Graduate degree in law (LLB) will be preferred

Functional Skills

• Experience in the corporate secretarial and Compliance function of a reputed & large listed corporate.

Age 28- 35 years

Experience 8 to 12 years 

Theme of the Role


• Responsible for handling secretarial and compliance matters under applicable laws and regulations for the Company and its associate entities ; 

Key Deliverables:

• Independently capable of handling secretarial functions

• Overseeing day to day activities of secretarial function in respect of the associate entities which broadly includes filing of forms with ROC, making online applications dealings with regulators.

• Conducting/ organizing Board/ Committee/ General Meetings including Postal Ballots and attending to all activities pertaining thereto.

• Compliance with Corporate Laws, SEBI Regulations viz., Listing Regulations, Takeover Code, Insider Trading Regulations, ESOP Regulations and other applicable laws and regulations.

• Handling FEMA Compliance relating to Overseas Direct Investment

• Handling Preferential Issue /Private Placement of securities

• Handling Due Diligence in respect of Corporate actions

• ESOP Management and compliances thereto

• Dividend Pay-out and related compliances including unclaimed dividend and IEPF related matters.

• Shareholders Management including redressal of shareholders' grievances and liaising with Registrar and Transfer Agent in dealing with Shareholders issue.

• Liaise with group legal & compliance teams (internal and external)

• Providing Secretarial support services to Companies Subsidiaries in India and Overseas from time to time.

• Proactively analyse case law developments and changes in legal regulations and highlight their impact on the Company.
